Terms and Agreement of Sale of IntelliTrac GPS products, and IntelliTrac Software Hosting and provision of mobile GPRS, SMS and/or 3G Data Services (ASP Fees). *****ALL PRICES QUOTED ARE SUBJECT TO GST. Therefore to avoid doubt please add GST to all prices quoted in this application.******* ***** FAIR GO POLICY:- If you disconnect your service within 24 months, you are required to either:- a)Return the GPS Device to IntelliTrac at your cost and expense or b) If your purchase price was less than our normal selling price of $499 pay an amount equal to the difference between the price paid for the GPS device excluding installation and our normal selling price of $499+GST (exclusive of installation)****** 1. You agree to use the products strictly in accordance with all applicable laws including any privacy and disclosure laws. 2. You agree to use the products and software in accordance with the IntelliTrac user manuals which are available online. 3. You will ensure all other persons using your online account will abide strictly in accordance with all applicable laws and use the software in accordance with the IntelliTrac user manuals. 4. You will keep safe your online username and password and will not disclose it to others. 5. You must not tamper with or allow others to tamper with the IntelliTrac products, GPS device installation or data sim cards. 6. You must not remove or allow others to remove the IntelliTrac data sim card from the GPS device. 7. In return for a monthly fee, IntelliTrac will provide 5MB of Data Services and internet based online software to allow you to track the GPS devices. You acknowledge that IntelliTrac may charge you for any surplus data usage over and above the 5MB allocation per month. 8. You must pay the IntelliTrac Monthly fee regardless if you use the software. 9. You must pay the IntelliTrac Monthly fee regardless if the device is tracking. 10. You must give IntelliTrac 30 days or one billing period notice, whichever is greater if you wish to terminate your service. This notice must be provided via the IntelliTrac Online Termination Form. IntelliTrac will provide confirmation of receipt of the online termination form. IntelliTrac will not accept a written, verbal or email notice of termination. 11. If the device fails to track or send data, you must notify IntelliTrac as soon as possible. 12. You cannot claim a refund or credit of any ASP Fees if the device has failed to track or send data, unless you notify IntelliTrac in writing and IntelliTrac does not rectify the problem within 5 working days. 13. Payment of the Mycars GPS Equipment Purchase and Monthly Service Hosting and Data Account is strictly by direct debit via your bank account or credit card. Payment will start the day that you place this order or the day your device is online and tested at IntelliTrac. It is upto you to ensure your vehicles are available for installation as soon as possible, during business hours Monday to Friday and within the metropoloitan areas of Australian Capital Cities. Installations outside our normal business hours and outside metropolitan areas may not be possible. Where installation is possible outside our normal business hours and outside metropolitan areas an Installation Surcharge is applicable. 14. A 2% surcharge will be incurred from any amounts debited from a credit card. 15. You must notify IntelliTrac if you lose or replace your credit card. 16. You must notify IntelliTrac of your new credit card details if and when they occur. 17. Your nominated bank account or credit card will be debited during the first week of each month. If the direct debit fails, IntelliTrac has the right to terminate your service within 14 days. 18. You will be charged monthly in advance for all ASP charges. The first month will incur a prorata charge based on the amount of billing days in the cycle. 19. Upon termination, you are still liable for any outstanding amounts to IntelliTrac. If you change your mind prior to installation of the IntelliTrac Devices in your vehicles or assets, you will be liable for a setup and configuration fee of $200 per device. 20. All software and data remains the property of IntelliTrac and you have rights to use the software and data when your ASP fees are paid in full. 21. You must maintain all software including anti virus and spyware on all computers using the IntelliTrac Online Software system and provide a suitable internet connection of 1.5MBPS or greater. 22. You expressly acknowledge that due to circumstances often beyond the control of IntelliTrac, including (but not limited to) software viruses, power failure, electrical or topological interference, equipment malfunction, tampering by unauthorised persons and the actions and omissions by suppliers of telephone services, the IntelliTrac Products and ASP Software & Telecommunications Services may not operate as designed. 23. You also acknowledges that IntelliTrac is not responsible for damages to the IntelliTrac Products and ASP Services or their failure to perform, as a result of any defect in the vehicle or asset being tracked, or by accident ,vandalism or other consequence. 24. You therefore understand and agree that IntelliTrac will not be responsible for any performance, or failure, of the ASP Services and/or IntelliTrac Products, and any resulting loss of business or profits or other loss or damage whether due to the circumstances envisaged above or otherwise. 25. This order is binding once issued on this IntelliTrac Electronic Online Order Form. IntelliTrac has the right to accept or refuse the order. 26. The prices payable for the IntelliTrac Products and ASP Services are quoted in this Agreement. 27. Where you pay for IntelliTrac Products ASP Services and or installation thereof by continuing credit card instalment payments or a Direct Debit Authority, you acknowledge that IntelliTrac is authorised to deduct all due payments on the dates on which they are required to be made. Any dishonoured payments may incur a dishonour fee. 28. Where you make payments to IntelliTrac by way of credit card instalments or Direct Debit Instalments, you must immediately notify IntelliTrac of the loss or theft or expiry of the particular credit card or Nominated Bank Account. You must notify in writing of replacement credit card or Nominated Bank Account details as soon as practically possible so that continuing credit card payments are not terminated. 29. Where you wish to stop any credit card instalment payments or Direct Debit Payments to IntelliTrac (after the applicable termination notice period), you must notify IntelliTrac in writing of such decision. 30. IntelliTrac warrants that the products supplied in this agreement are free from defects and defaults and fit for the purpose for which they are intended as of the date of installation. 31. This warranty continues in force for a period of (24)Twenty Four months from the date of installation of the products in the vehicle or asset. If an authorised installer removes and refits the products during the warranty period in a new vehicle or asset then the warranty period will continue to run and the date of installation will be the date of installation in the first Asset nominated by the customer. 32. IntelliTrac will repair or replace, at its absolute discretion, any defective IntelliTrac products or component parts during the warranty period at its own expense less removal, reinstallation and shipping costs back to the IntelliTrac Service Centre in Melbourne Australia. 33. IntelliTrac Warranty immediately becomes void if the you fail to comply with the User Manual operating instructions and information or you or any person not authorised by IntelliTrac attempts to service, repair, assemble, disassemble, tamper with or remove the IntelliTrac products (or components thereof) or ; your vehicle or asset has been involved in an accident or materially damaged and/or the IntelliTrac products have not subsequently been tested or approved by a IntelliTrac authorised person. 34. The warranty offered by IntelliTrac is a back to base warranty and you are liable to pay any device removal, shipping and re-installation costs 35. IntelliTrac will provide GPS Data for every 3 minutes of travel when the vehicle ignition is on. It will provide position data for whenever the ignition is switched on or off. 36. Position Data may not be real time due to factors including but not limited to mobile phone network coverage and latency within the Internet or Information Technology Infrastructures. By acknowledging this agreement with the response YES the Customer acknowledges that he or she has read, understood and agrees to be bound by these terms and conditions.
